1. Legal Information

These Terms of Service (“Terms”) govern access to and use of the KOLI platform and services (the “Service”), operated by:

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

KOLI provides AI-powered tools and services designed to manage creator marketing campaigns, including creator sourcing and communications, campaign delivery, and related analytics.

The Service is offered as a paid service, including:

  • Sourcing creators

  • Following up creator content delivery

  • Facilitating creator deliverable approval

  • Creator contracting and payouts

The user has five (5) calendar days to approve the creators proposed for a campaign and five (5) calendar days to review and provide feedback on creator content. If no response is received within this period, the creators and/or content shall be deemed approved by default.

Creators approved by the user may withdraw or fail to collaborate for reasons beyond KOLI’s control. In such cases, KOLI reserves the right to propose replacement creators in order to fulfill the campaign objectives.

3. Eligibility and Accounts

To use the Service, you must be at least 18 years old and have the legal authority to enter into a binding agreement.

Users must create an account to access the Service. When creating an account, you must provide accurate and complete information, including:

  • Email address

  • Password

  • Account or organization name

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

4. Fees, Billing, and Free Trials
4.1 Fees

The Service is offered on:

  • Monthly UGC/CGC plans; and/or

  • Custom campaign-based pricing; and/or

  • Monthly subscription for creator sourcing.

All fees are communicated prior to purchase and are exclusive of applicable taxes, unless stated otherwise.

4.2 Free Trials

KOLI may offer free trials to eligible customers at its discretion. Free trials may be limited in duration, usage, or campaign scope. Eligibility and conditions are determined solely by KOLI and may be modified or withdrawn at any time.

4.3 Billing and Auto-Renewal

Upon campaign launch, a portion of the campaign price or UGC/CGC monthly plan fee is charged and is non-refundable. The remaining balance of the total amount is charged when the user confirms the first creators selected to collaborate on the campaign.

Subscription-based service automatically renews unless canceled prior to the renewal date. By subscribing, you authorize KOLI to charge the applicable fees using your selected payment method.

4.4 Refunds

Refunds may be granted only if specific conditions are met, as determined by KOLI on a case-by-case basis. No refunds are guaranteed.

5. Acceptable Use and Client Responsibilities

You agree not to use the Service to:

  • Promote, facilitate, or create campaigns for illegal products or services;

  • Violate applicable local, national, or international laws or regulations; or

  • Misuse the platform in a manner that could harm KOLI, creators, or third parties.

Clients are solely responsible for ensuring that:

  • All campaigns, briefs, and marketing materials comply with applicable laws and regulations; and

  • All content shared with creators is lawful and compliant.

Users may upload campaign-related materials, including marketing information and creator briefs, solely for the purpose of executing campaigns through the Service.

Creator Non-Circumvention

You agree not to directly or indirectly engage, contract with, or obtain services from any creator introduced or sourced through KOLI, without KOLI’s prior written consent, for a period of twelve (12) months following the date such creator is submitted to you for approval, including through affiliates or third parties.

6. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, branding, workflows, and documentation, are owned exclusively by KOLI or its licensors.

Nothing in these Terms grants you any rights to KOLI’s intellectual property except as strictly necessary to use the Service in accordance with these Terms.

7. Suspension and Termination

KOLI may suspend or terminate your access to the Service, with or without notice, if:

  • You violate these Terms;

  • Your use of the Service is unlawful; or

  • Your use poses a risk to KOLI, creators, or third parties.

Upon termination, your right to access and use the Service will immediately cease.

8. Disclaimer of Warranties and Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation.

KOLI does not guarantee any specific campaign results, creator performance, audience engagement, or commercial outcomes resulting from use of the Service.

To the maximum extent permitted by applicable law:

  • KOLI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if KOLI has been advised of the possibility of such damages; and

  • KOLI’s total aggregate liability arising out of or related to the Service or these Terms shall not exceed the total amount of fees paid by you to KOLI during the twelve (12) months preceding the event giving rise to the claim.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of France.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of France.

10. Changes to These Terms

KOLI may update these Terms from time to time. Updated versions will be posted on the website with a revised “Last updated” date. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
